These Terms and Conditions (“Terms”) are an agreement between you and Ocean ATM, Inc. (“Ocean ATM,” “we,” “us” or “our”). Please read them carefully. By accessing oceanatm.com, creating an account, submitting an order or otherwise using our website, you agree to these Terms and the policies incorporated by reference.

Section 1

Acceptance and Scope

These Terms apply to your access to and use of the Ocean ATM website, online store, website content, forms and related online services. They also govern purchases submitted through the website unless a separate written agreement states otherwise.

If you do not agree to these Terms, do not use the website or submit an order. If you use the website on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

Section 2

Separate Agreements and Policies

ATM processing, placement, partnership, equipment, installation, maintenance, service, warranty or other business relationships may be governed by a separate quote, order form, application, lease, contract or signed agreement.

If a separate written agreement between you and Ocean ATM conflicts with these website Terms, the separate written agreement controls with respect to the subject it covers.

The following policies are incorporated into these Terms by reference:

Section 3

Eligibility and Customer Accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order or create an account. You agree to provide current, complete and accurate information.

You are responsible for maintaining the confidentiality of account credentials and for activity occurring through your account. Notify Ocean ATM promptly if you suspect unauthorized access or use. We may suspend or terminate an account where reasonably necessary to protect the website, our customers or our business.

Section 4

Product Information, Availability and Pricing

We make reasonable efforts to describe products accurately. Images, colors, specifications, features, compatibility information, dimensions and packaging may vary from actual products or may be updated by a manufacturer without notice.

Product availability is not guaranteed. We may limit quantities, discontinue products, substitute a manufacturer-approved equivalent when authorized, or decline an order.

Prices, promotions, fees and availability may change without notice. If a website listing contains a material pricing, description or availability error, we may correct the error and cancel or contact you about an affected order, even after an order confirmation has been issued.

Compatibility: Customers are responsible for reviewing product descriptions and confirming that parts, upgrades, locks, keypads, communication devices and other equipment are appropriate for their specific ATM model and configuration. Contact us before ordering if compatibility is uncertain.
Section 5

Orders, Acceptance and Verification

Your order is an offer to purchase. An automated order acknowledgment does not mean that Ocean ATM has accepted the order. We may accept, reject, hold or cancel an order for reasons including availability, payment authorization, pricing error, suspected fraud, export or legal restrictions, or inability to verify information.

To protect customers and prevent unauthorized transactions, we may:

  • Verify billing, shipping, identity and business information
  • Review address-verification, card-security and transaction-risk results
  • Contact you or the cardholder to confirm an order
  • Request identification or supporting documentation
  • Require shipment to a verified address or use signature confirmation
  • Limit quantities or decline an order that appears suspicious

Failure to complete requested verification may result in delay or cancellation. If a canceled order was charged, any refund due will be issued to the original payment method, subject to payment-provider processing times.

Section 6

Payment, Billing and Taxes

You authorize Ocean ATM and its payment providers to charge the payment method submitted for the order total and any disclosed taxes, shipping charges or other fees. You represent that you are authorized to use the payment method and that the billing information is accurate.

Unless the website or a separate written agreement states otherwise, payment is due when the order is placed. You are responsible for sales, use, excise or similar taxes applicable to your transaction, except taxes based on Ocean ATM’s income. Tax-exempt customers must provide acceptable documentation before the order is completed.

Chargebacks or payment disputes should not be used as a substitute for contacting us about an order problem. This sentence does not limit any rights available under applicable law or card-network rules.

Section 7

Shipping, Delivery and Inspection

Shipping, delivery, freight, signature, inspection, damage-reporting and risk-of-loss terms are governed by our Shipping Policy.

Delivery dates are estimates unless Ocean ATM expressly agrees otherwise in writing. Carrier delays and events outside our reasonable control may affect delivery. You are responsible for providing an accurate, accessible delivery address and for inspecting packages and equipment promptly upon receipt.

Section 8

Cancellations, Returns, Refunds and Warranty Claims

All eligibility, procedures, deadlines, authorizations, exclusions, restocking fees, return shipping responsibilities, refunds and warranty claims are governed entirely by our separate Returns and Warranty Claims Policy.

Nothing in these Terms creates an independent right to cancel an order, return a product, receive a refund or obtain warranty service outside that policy or an applicable separate written agreement.

Prior authorization may be required. Do not send equipment or parts back to Ocean ATM without first following the procedures in the Returns and Warranty Claims Policy.
Section 9

Acceptable Website Use

You may use the website only for lawful purposes. You may not:

  • Attempt to gain unauthorized access to the website, accounts or systems
  • Interfere with website operation, security or another user’s access
  • Introduce malware, harmful code or automated attacks
  • Use bots, scraping or data-extraction tools without written permission
  • Submit false, misleading, fraudulent or infringing information
  • Impersonate another person or misrepresent your affiliation
  • Use website content or services in violation of law

We may restrict access, preserve evidence and cooperate with lawful investigations when we reasonably believe misuse has occurred.

Section 10

Intellectual Property

The website and its text, graphics, photographs, videos, layout, design, software, trademarks, logos and other content are owned by Ocean ATM or used with permission and are protected by applicable intellectual-property laws.

Ocean ATM grants you a limited, revocable, nonexclusive and nontransferable right to access the website for legitimate personal or business purchasing purposes. No content may be copied, republished, sold, modified, distributed or commercially exploited without prior written permission, except as permitted by law.

Third-party product names, brands and trademarks remain the property of their respective owners. Their appearance does not imply ownership by Ocean ATM.

Section 11

Third-Party Websites and Services

The website may link to or integrate with payment providers, shipping carriers, reporting portals, manufacturers, video platforms, social networks and other third-party services. Those services are independently operated and may have their own terms and privacy policies.

Ocean ATM is not responsible for third-party websites, content, availability, security or independent business practices. A link or integration does not constitute an endorsement unless expressly stated.

Section 12

Website and Product Disclaimers

To the fullest extent permitted by law, the website and its content are provided on an “as is” and “as available” basis. Ocean ATM does not warrant that the website will always be uninterrupted, error-free, secure or free of harmful components.

General website content is provided for informational purposes and is not legal, tax, accounting or financial advice. Earnings examples, transaction estimates, savings illustrations and business projections are not guarantees of results. Actual ATM performance depends on location, traffic, surcharge, availability, operating costs and other factors.

Products are subject to applicable express manufacturer warranties and Ocean ATM warranty terms, if any. Except where prohibited by law, Ocean ATM disclaims implied warranties to the extent legally permitted.

Section 13

Limitation of Liability

To the fullest extent permitted by law, Ocean ATM, Inc. and its officers, employees, agents and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, lost revenue, loss of data, loss of business opportunity or business interruption arising from or related to the website or a website purchase.

To the fullest extent permitted by law, Ocean ATM’s total liability for a claim arising from a website purchase will not exceed the amount you paid Ocean ATM for the product or service giving rise to that claim.

These limitations do not apply to liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions, so portions of this section may not apply to you.

Section 14

Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Ocean ATM, Inc. and its officers, employees and agents from third-party claims, damages, liabilities, costs and reasonable attorneys’ fees arising from your unlawful misuse of the website, your violation of these Terms, or content or information you submit that infringes another person’s rights.

Section 15

Events Beyond Our Reasonable Control

Ocean ATM is not responsible for delay or failure caused by circumstances beyond its reasonable control, including severe weather, natural disaster, fire, flood, epidemic, labor disruption, war, civil unrest, government action, transportation interruption, carrier delay, supply shortage, manufacturer delay, utility failure, telecommunications outage, cyberattack or failure of a third-party service.

Where practical, we will make reasonable efforts to communicate material delays and resume performance.

Section 16

Governing Law and Exclusive Venue

These Terms and any dispute arising from or relating to these Terms, the website or a website purchase are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

To the fullest extent permitted by law, you and Ocean ATM, Inc. agree that any legal action or proceeding concerning these Terms must be brought exclusively in the state or federal courts serving Monmouth County, New Jersey, and each party consents to the personal jurisdiction and venue of those courts.

This section does not override a different governing-law, venue, arbitration or dispute-resolution provision contained in an applicable separate written agreement.

Section 17

General Provisions

Entire Agreement

These Terms and the policies incorporated by reference constitute the entire agreement concerning your use of the website and website purchases, except for any applicable separate written agreement.

Severability

If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect.

No Waiver

A failure to enforce a provision is not a waiver of that provision or any other right.

Assignment

You may not assign your rights or obligations under these Terms without Ocean ATM’s written consent. Ocean ATM may assign these Terms in connection with a merger, reorganization, sale of assets or transfer of the relevant business.

Headings

Section headings are provided for convenience and do not affect interpretation.

Section 18

Changes to These Terms

We may update these Terms to reflect changes in our website, products, business practices or legal obligations. Revised Terms will be posted on this page with a new “Last Updated” date.

Changes apply prospectively when posted unless a later date is stated. Your continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms.
